Terms of Service

Welcome to OrderDash Services ("OrderDash", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of services.orderdash.in and all custom web development, mobile application engineering, UI/UX design, and SaaS product engineering services provided by OrderDash.

By submitting a requirement form, accepting a project proposal, issuing a purchase order, or engaging OrderDash for services, you ("Client", "User", or "Customer") agree to be bound by these Terms in full.

1. Custom Services & Proposals

OrderDash provides custom digital engineering services tailored to individual project requirements. Specific scope, deliverables, timelines, and custom pricing are established under individual Statement of Work (SOW) or invoice agreements. Any requests outside the agreed SOW shall require a separate scope amendment and additional custom fees.

2. Payment Terms & Strict No-Refund Policy

All service fees are custom-quoted in Indian Rupees (INR - ₹). Invoices and milestone payments must be settled according to the payment schedule set forth in the proposal. All initial deposits, scoping fees, milestone payments, and retainers paid to OrderDash are strictly 100% non-refundable under all circumstances once paid or once work has commenced. 3. Intellectual Property Rights

Upon 100% full and final payment of all contracted invoices, OrderDash transfers full ownership rights of custom source code, graphics, and specific assets built for the Client under the applicable SOW. OrderDash retains sole ownership of pre-existing frameworks, developer utility libraries, generic scripts, and proprietary tools developed prior to or outside the scope of the agreement.

Unless an explicit Non-Disclosure Agreement (NDA) is executed prior to project kickoff, OrderDash reserves the right to showcase non-confidential project visuals, screenshots, and case studies in its public portfolio.

CRITICAL LEGAL DISCLAIMER & EXCLUSION OF LIABILITY:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORDERDASH, ITS FOUNDERS, TEAM MEMBERS, DEVELOPERS, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE UNDER ANY THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE, OR OTHERWISE) FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF BUSINESS PROFITS, REVENUE, DATA, GOODWILL, SAVINGS, BUSINESS INTERRUPTION, THIRD-PARTY SERVER OUTAGES, CLOUD PROVIDER FAULTS (E.G. AWS, VERCEL, SUPABASE), DEPRECATION OF THIRD-PARTY APIS, OR SECURITY BREACHES ON CLIENT HOSTING ENVIRONMENT.

4. Comprehensive Limitation of Liability

OrderDash delivers software on an "as is" and "as available" basis. While we adhere to enterprise-grade engineering standards, we do not warrant that software will operate uninterrupted, bug-free, or compatible with future third-party software updates beyond the agreed post-launch support period.

In no event shall OrderDash's total aggregate cumulative liability for any and all claims, disputes, or causes of action arising out of or related to our services exceed the actual net amount paid by the Client to OrderDash for the specific deliverable giving rise to the claim.

5. Client Responsibilities & Indemnification

The Client is solely responsible for ensuring that all content, data, logos, text, media, third-party APIs, and credentials provided to OrderDash comply with applicable laws, copyright standards, and privacy regulations. The Client agrees to indemnify, defend, and hold harmless OrderDash, its founders, and contractors against any third-party claims, damages, liabilities, or expenses (including legal fees) arising from the Client's business operations, content, or breach of these Terms.

6. Termination

OrderDash reserves the right to suspend or terminate services immediately without refund if the Client fails to make timely milestone payments, breaches confidentiality, or engages in unlawful or abusive behavior towards OrderDash staff.

7. Governing Law & Dispute Jurisdiction

These Terms and all service contracts are governed by and construed in accordance with the laws of India. Any legal action, dispute, or proceeding arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Haryana / New Delhi, India.
